These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Vexlint ("Company," "we," "our," or "us") governing your access to and use of our website, services, and AI-powered code security scanning platform (collectively, the "Service").

By accessing or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our Service.

We reserve the right to modify these Terms at any time. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

2. Description of Service

Vexlint provides an AI-powered code security scanning and analysis platform designed to help developers and organizations identify security vulnerabilities, code quality issues, and potential risks in their software projects.

Our Service includes, but is not limited to:

Automated security vulnerability detection and analysis
Code quality assessment and recommendations
Integration with version control systems
Security reports and actionable insights
Access to our waitlist and early access program

Current Status: Vexlint is currently in development. By joining our waitlist, you will receive updates about our launch and may be invited to participate in beta testing programs.

3. Eligibility and Account Registration

To use our Service, you must:

Be at least 16 years of age
Have the legal capacity to enter into a binding agreement
Not be prohibited from using the Service under applicable laws
Provide accurate and complete information during registration

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

You are responsible for:

Maintaining the confidentiality of your account credentials
All activities that occur under your account
Notifying us immediately of any unauthorized access or security breach
Ensuring your contact information remains accurate and up to date

4. Acceptable Use Policy

Use the Service to scan, analyze, or process code that you do not have the right to access
Misrepresent your identity or affiliation with any person or organization

5. Intellectual Property Rights

5.1 Your Code and Content

You retain all ownership rights to your source code, data, and any content you submit to or through the Service ("User Content"). By using our Service, you grant Vexlint a limited, non-exclusive, worldwide license to access and process your User Content solely for the purpose of providing the Service to you. We will not sell, share, or use your code for any purpose other than delivering our Service.

5.2 Vexlint's Intellectual Property

The Service, including all software, algorithms, user interfaces, designs, trademarks, logos, documentation, and other materials, is owned by Vexlint and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

You may not copy, modify, distribute, sell, or lease any part of our Service or its content, nor may you reverse engineer or attempt to extract the source code of the Service, except as permitted by applicable law.

6. Service Availability and Modifications

We strive to provide reliable and continuous access to our Service. However, we do not guarantee uninterrupted or error-free operation. We reserve the right to:

Modify, suspend, or discontinue any part of the Service at any time
Perform scheduled or emergency maintenance
Update the Service's features, functionality, or user interface
Limit or restrict access to certain features or functionality

We will make reasonable efforts to provide advance notice of significant changes or scheduled maintenance, but we are not obligated to do so in cases of emergency or security concerns.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

The Service will meet your specific requirements or expectations
The Service will be uninterrupted, timely, secure, or error-free
The results obtained from using the Service will be accurate or reliable
Any errors in the Service will be corrected

Important Security Disclaimer: Our security scanning service is designed to assist in identifying potential vulnerabilities, but it is not a substitute for comprehensive security auditing, penetration testing, or professional security review. We do not guarantee the detection of all security vulnerabilities, and you remain solely responsible for the security of your code and systems.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VEXLINT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

Any indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, or business opportunities
Damages arising from unauthorized access to or use of your data
Any security breaches or vulnerabilities not detected by the Service
Damages resulting from any third-party content or services

Our total aggregate liability for any claims arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) one hundred euros (EUR 100).

9. Indemnification

You agree to indemnify, defend, and hold harmless Vexlint and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property or privacy rights; or (d) any User Content you submit through the Service.

10. Termination

10.1 Termination by You

You may stop using the Service at any time. To unsubscribe from our waitlist or close your account, please contact us at support@vexlint.com.

10.2 Termination by Us

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to:

Violation of these Terms or our policies
Conduct that is harmful to other users, third parties, or our business
Requests by law enforcement or government agencies
Discontinuation of the Service or any part thereof

10.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, warranty disclaimers, indemnification, and limitations of liability.

11. Changes to Terms

We may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices. When we make material changes, we will:

Post the updated Terms on this page with a new "Last updated" date
Notify registered users via email when required by law or when changes are significant

Your continued use of the Service after any changes to these Terms constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the European Union and the applicable laws of the Member State in which Vexlint is established, without regard to conflict of law principles.

Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiations. If a resolution cannot be reached, disputes shall be submitted to the exclusive jurisdiction of the competent courts in the European Union.

If you are a consumer residing in the European Union, you may also have the right to refer a dispute to an alternative dispute resolution (ADR) entity, including the Online Dispute Resolution platform provided by the European Commission at https://ec.europa.eu/consumers/odr.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Vexlint regarding the Service and supersede all prior agreements and understandings.

13.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

13.3 Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

13.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
